What We Handle

Commercial and contractual disputes: Advise and represent clients in disputes arising from commercial and technology contracts, including breach of contract, non-performance, payment and recovery claims, termination, indemnities, representations and warranties, limitation of liability, and contractual interpretation.

Money recovery and enforcement: Represent corporates, banks and financial institutions in recovery proceedings arising from unpaid contractual dues, financing arrangements and commercial transactions, and other monetary claims, including proceedings for enforcement of contractual and security rights.

Injunctive and interim relief: Advise and represent clients in applications for interim and injunctive relief, including injunctions restraining breach of contract, misuse of confidential information or intellectual property, alienation of assets or property, and other conduct prejudicial to the client's commercial interests.

Real estate and property disputes: Advise and represent clients in disputes relating to immovable property and real estate development, including title and possession, development and construction obligations, sale and transfer arrangements, property rights, and contractual disputes involving developers and other stakeholders.

Lease and tenancy disputes: Handle disputes arising from commercial leases and occupation arrangements, including interpretation and enforcement of lease terms, rent and other payment obligations, termination, renewal, possession, and related contractual claims.

Joint venture and shareholder disputes: Advise and represent clients in disputes arising from joint ventures, shareholder and strategic investment arrangements, including governance, management and control rights, funding obligations, reserved matters, deadlock, exit rights, breach of contractual obligations, and disputes concerning ownership or use of assets and IP.

Intellectual property and technology disputes: Handle disputes concerning the use, ownership and licensing of intellectual property and technology, including unauthorised use, contractual restrictions, confidentiality, licensing obligations, and related injunctive and monetary relief.

Representative Engagements

Township Development Dispute. Represented landowners in a dispute arising from the development of a township project, involving competing contractual rights and obligations between the landowners and the developer. Advised on the consequences of the developer’s alleged defaults under the development arrangement, including the landowners’ entitlement to take over and assume control of the project following the developer’s default. Represented the landowners in proceedings seeking appropriate interim and substantive relief to protect their contractual and proprietary interests and enable them to assume control of the project and safeguard its continued development.

Joint Venture and Supply Agreement Dispute. Represented a joint venture partner in a dispute involving cross-default provisions under a joint venture agreement and a related raw material supply agreement. The dispute involved interdependent contractual arrangements and the extent to which an alleged default under one agreement could trigger consequences under the other. Advised on the construction and enforceability of reciprocal promises and interlinked contractual obligations, including the sequencing of performance obligations and the contractual consequences of an alleged failure by one party to perform its corresponding obligations.

Project Sponsor Payment Dispute. Represented a party in a commercial contractual dispute arising from the project sponsor’s alleged failure to provide approvals within the contractually contemplated timeframe, resulting in delays to project implementation and consequential delays in payment obligations. Advised on the contractual allocation of responsibility for project delays, causation and the linkage between approval obligations and payment milestones, and the resulting contractual claims and defences. The dispute was ultimately resolved through settlement negotiations.

Trademark Infringement Following Business Transfer. Represented a business in proceedings concerning the unauthorised continued use of its trademark following the transfer of the underlying business, involving disputes over the scope of rights transferred to the transferee and the transferee’s continuing entitlement to use the mark. Advised on the contractual and intellectual property rights arising from the business transfer, and pursued injunctive relief to restrain unauthorised use of the trademark and protect the client’s proprietary and commercial interests.
