Representative Experience

Master document alignment for AI services. Advised on the multi-jurisdictional contractual framework for AI-enabled conversational services, including alignment of master agreements and ancillary documentation governing the relationship between AI service providers, customers and technology and service partners. Addressed AI-specific issues including use of customer inputs and model outputs, model training and improvement, intellectual property, confidentiality, data protection, security, third-party dependencies, acceptable use, AI-related representations and warranties, service performance, indemnities and liability allocation. Developed supporting Data Protection, Privacy and Acceptable Use Policies and ensured consistency between contractual commitments and operational practices across jurisdictions.

AI service risk assessment. Advised on risk identification and mitigation for AI-based products and services, including legal and regulatory risks associated with data inputs, automated processing and decision-making, model outputs, third-party models and technology dependencies, and deployment across multiple jurisdictions. Structured an integrated suite of commercial, technology, data protection and governance documentation involving multiple stakeholders, with particular focus on delineating roles and responsibilities, managing contractual interdependencies, ensuring flow-down of obligations, and allocating AI-related risks and liabilities across the project and service ecosystem.
